Wurk Terms of Use

1. Overview of Wurk

Wurk is a technology platform that connects businesses with independent contractors for temporary work opportunities.

Wurk provides marketplace technology that allows businesses to post temporary work opportunities and allows workers to apply for, be selected for, and perform those opportunities as independent contractors. Wurk may facilitate communications, check-in and check-out records, payment processing, ratings, account administration, dispute review, and related platform functions.

Wurk does not currently employ workers who accept work opportunities through the platform. Wurk does not set worker pay rates, work schedules, uniforms, training requirements, tools, methods of work, or workplace procedures. Businesses determine those matters.

2. Definitions

For purposes of these Terms:

“Wurk,” “we,” “us,” and “our” mean TIMO APP LLC, a Maryland limited liability company, doing business as Wurk.

“Platform” means the Wurk app, website, marketplace, technology, software, services, communications tools, payment-related functions, account systems, and related features.

“Business” means a company, organization, merchant, operator, manager, owner, or other person or entity that creates a business account, posts temporary work opportunities, selects workers, or uses Wurk to connect with workers.

“Worker” means an individual who creates a worker account, provides profile or work-related information, applies for work opportunities, is selected for work opportunities, performs temporary work opportunities, or otherwise uses Wurk to find temporary work.

“User” means any Business, Worker, visitor, or other person who accesses or uses Wurk.

“Work Opportunity,” “Job,” “Shift,” or “Gig” means a temporary work opportunity posted by a Business through Wurk.

“User Content” means information, messages, photos, videos, documents, resumes, profile information, business information, ratings, reviews, job descriptions, logos, images, certifications, messages, work records, check-in information, check-out information, and other content submitted through Wurk.

“Stripe” means Stripe, Inc. and its affiliates, including Stripe Connect and related payment services.

3. Eligibility

Wurk is currently intended for users located in the United States.

To use Wurk, you must be legally able to enter into these Terms and legally permitted to use the Platform. Workers must be physically located where the applicable work is performed.

Workers must be at least 18 years old, unless the Worker is legally authorized to work under applicable federal, state, and local law, has obtained all required work permits or authorizations, and has any legally required parent or guardian consent. Wurk may require additional documentation before allowing a minor to use the Platform.

No person under the age of 13 may use Wurk.

Businesses must be legally formed or legally authorized to conduct business and must have authority to post Work Opportunities and enter into these Terms.

By using Wurk, you represent and warrant that all eligibility requirements are satisfied.

4. Account Registration

To use certain features of Wurk, you must create an account.

Workers may be required to provide information including name, address, Social Security number, email address, phone number, profile photo, resume, skills, certifications, banking information, identification information, work history, location information, and other information requested through the Platform.

Businesses may be required to provide information including business name, business address, EIN, contact information, authorized representative information, payment information, job details, worksite information, and other information requested through the Platform.

You agree to provide accurate, current, and complete information and to promptly update information if it changes.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You may not create an account using false information, impersonate another person or business, create duplicate accounts to avoid enforcement, or allow unauthorized persons to use your account.

5. Identity Verification and Business Verification

Wurk may require Workers to provide Social Security number, name, address, government identification, profile information, banking information, and other information for identity, tax, payment, fraud prevention, safety, or compliance purposes.

Wurk may require Businesses to provide business name, business address, EIN, authorized representative information, payment information, and other business verification details.

Wurk does not guarantee that any User is who they claim to be. Wurk may approve, deny, suspend, restrict, or deactivate accounts based on verification results, incomplete information, suspected fraud, safety issues, or other risk factors.

Wurk does not currently perform background checks as a standard feature, but Wurk reserves the right to introduce background checks, identity verification services, business verification services, credential checks, criminal history checks, work authorization checks, reference checks, or other screening processes in the future.

Use of future verification or background-check services may require additional consent, disclosures, authorizations, and third-party terms.

6. Business Accounts

A Business may post Work Opportunities immediately after creating an account, subject to these Terms and any limits imposed by Wurk.

Businesses are responsible for ensuring that all Work Opportunities are lawful, accurate, safe, non-discriminatory, and consistent with all applicable federal, state, and local laws.

Businesses are responsible for determining job requirements, pay rates, schedules, work locations, tools, uniforms, equipment, supervision, workplace rules, training requirements, safety requirements, and work methods.

Businesses are responsible for selecting which Worker receives or performs a Work Opportunity. Workers do not automatically receive a Shift simply by applying.

Businesses must not post misleading, unsafe, illegal, discriminatory, exploitative, or fraudulent Work Opportunities.

Businesses must not use Wurk to avoid applicable employment, wage, hour, tax, licensing, insurance, workplace safety, child labor, anti-discrimination, immigration, or other legal obligations.

7. Worker Accounts

Workers may create profiles, upload information, apply for Work Opportunities, communicate with Businesses, and use Wurk to seek temporary work.

Workers are responsible for reviewing Work Opportunity details before applying for or accepting a Shift.

Workers are responsible for determining whether they have the skills, experience, certifications, permits, tools, transportation, legal authorization, and availability required for a Work Opportunity.

Workers are responsible for performing accepted Work Opportunities professionally, safely, and in accordance with the applicable Business’s lawful instructions and job description.

Workers must not misrepresent their identity, skills, credentials, experience, certifications, permits, availability, location, or work performed.

8. Independent Contractor Relationship

Workers who accept Work Opportunities through Wurk are independent contractors and are not employees of Wurk.

Wurk does not control the manner or means by which Workers perform work for Businesses. Businesses determine pay rates, schedules, work locations, uniforms, tools, equipment, training, worksite rules, job duties, and work methods.

No employment, agency, partnership, joint venture, franchise, fiduciary, or similar relationship is created between Wurk and any Worker by these Terms or by a Worker’s use of the Platform.

No employment, agency, partnership, joint venture, franchise, fiduciary, or similar relationship is created between Wurk and any Business by these Terms or by a Business’s use of the Platform.

Workers are not eligible for employee benefits from Wurk, including workers’ compensation, unemployment insurance, health insurance, retirement benefits, paid leave, disability benefits, or other employee benefits.

Wurk may in the future hire administrative staff or employees to support its internal operations. That does not change the independent contractor status of Workers who accept Work Opportunities through the Platform.

Businesses and Workers are responsible for determining whether any applicable law affects their relationship, including whether a Worker is properly classified for a specific Work Opportunity.

9. Work Opportunities, Selection, and Acceptance

Businesses may post Work Opportunities through Wurk. Each Work Opportunity may include details such as location, date, time, pay rate, job duties, required skills, tools, equipment, dress requirements, certifications, check-in procedures, and other requirements.

Workers may apply for or express interest in Work Opportunities. A Worker is not selected unless the Business chooses the Worker through the Platform or otherwise confirms selection through Wurk.

Once a Worker is selected and accepts a Work Opportunity, the Worker and Business are expected to honor the accepted Shift, subject to cancellation rules, safety issues, legal requirements, or other circumstances described in these Terms or in the Platform.

Wurk may display, organize, recommend, prioritize, or filter Work Opportunities using Platform features, user preferences, location, ratings, activity, availability, history, reliability, or other factors. Wurk does not guarantee that any Worker will receive any Work Opportunity or that any Business will receive any particular Worker.

10. Check-In, Check-Out, Time Records, and Activity Records

Wurk may provide check-in, check-out, time-tracking, location, message, and activity-record features.

Workers and Businesses are responsible for ensuring that check-in, check-out, time, attendance, and work completion records are accurate.

Wurk may collect and retain records of activity conducted through the Platform, including communications, applications, selections, cancellations, check-in activity, check-out activity, ratings, payment activity, location activity, account changes, and other Platform activity.

Businesses are responsible for confirming that Workers are checked in and checked out timely and accurately.

If a Business manager or representative fails to check in a Worker timely, fails to confirm attendance, or otherwise delays required Platform actions, Wurk may save that information, impose penalties, restrict Platform access, or deactivate the Business account for repeated issues.

11. Payments

Wurk uses Stripe Connect for payment processing.

Businesses pay Workers through Wurk using payment processing services made available through the Platform. Payment processing may be provided by Stripe and may be subject to Stripe’s terms, conditions, policies, fees, and verification requirements.

By using payment features, you authorize Wurk and its payment processors to collect, process, hold, transmit, and disburse payments as necessary to operate the Platform.

Workers may be required to create, connect, or maintain a payment account through Stripe or another payment provider to receive payments.

Businesses are responsible for paying amounts owed for Work Opportunities, subscriptions, payment processing fees, cancellation fees, penalties, and other charges disclosed through the Platform.

Workers are responsible for payment processing fees, penalties, chargebacks, reversals, or other charges disclosed through the Platform.

Wurk may deduct applicable fees, penalties, adjustments, chargebacks, reversals, refunds, or amounts owed from payments where permitted by law and applicable payment processor rules.

Wurk does not guarantee that payment processing will be uninterrupted, error-free, immediate, or available at all times.

12. Subscription Fees and Platform Fees

Wurk may charge Businesses a monthly subscription fee for access to certain Platform features.

Wurk may charge Businesses and Workers payment processing fees.

Wurk may introduce, modify, waive, discount, or discontinue subscription fees, processing fees, service fees, cancellation fees, no-show penalties, premium features, verification fees, insurance-related fees, or other charges.

Fees and charges will be disclosed through the Platform, during signup, during posting, during Shift acceptance, at checkout, on an invoice, in account settings, or through other Platform notices.

By using a paid feature, posting a Work Opportunity, accepting payment, maintaining a subscription, or otherwise incurring fees, you agree to pay all applicable charges.

Subscription fees may renew automatically unless canceled in accordance with the cancellation process provided through the Platform.

13. Cancellations

Businesses may cancel a Shift after a Worker has accepted it, but cancellation fees or penalties may apply.

Workers may cancel a Shift after accepting it, but cancellation fees or penalties may apply.

If a Business or Worker cancels more than 24 hours after acceptance, Wurk may assess cancellation fees, apply account penalties, reduce account standing, store the cancellation in account history, restrict access to features, or take other action.

Repeated cancellations may negatively affect an account and may result in temporary suspension, reduced visibility, restricted access, or permanent deactivation.

Wurk may waive or modify cancellation fees in its discretion for emergencies, safety concerns, documented illness, severe weather, legal restrictions, Platform errors, or other circumstances Wurk determines appropriate.

Cancellation rules may be updated or further explained in the Platform.

14. No-Shows

If a Worker fails to show up for an accepted Shift, Wurk may penalize the Worker, save the incident in the Worker’s account history, reduce account standing, restrict access, suspend the account, or permanently deactivate the account.

If a Business fails to have an authorized manager or representative available, fails to check in a Worker timely, prevents a Worker from performing an accepted Shift without proper cancellation, or otherwise fails to honor an accepted Shift, Wurk may penalize the Business, save the incident in the Business account history, restrict access, suspend the account, or permanently deactivate the account.

Repeated no-shows or repeated failure to honor accepted Shifts may result in permanent account deactivation.

15. Ratings and Reviews

Businesses may rate Workers. Workers may rate Businesses.

Ratings, reviews, reliability information, cancellation history, no-show history, check-in history, dispute history, and other Platform activity may be saved and used to operate the Platform.

Poor ratings alone will not automatically result in suspension. However, ratings may be considered along with other information, including complaints, safety issues, cancellations, no-shows, fraud concerns, harassment, payment issues, chargebacks, or violations of these Terms.

Users must provide honest, accurate, and good-faith ratings and reviews. Users may not manipulate ratings, retaliate through ratings, threaten negative ratings, purchase ratings, post false reviews, or use ratings to harass, discriminate, or defame another User.

Wurk may remove, hide, moderate, or restrict ratings or reviews that violate these Terms or Wurk’s policies.

16. Payment Disputes

If a Worker believes they were not paid correctly, the Worker must first communicate with the Business through documented communication.

Documented communication between the Business and Worker is required before Wurk begins a payment dispute investigation.

After receiving sufficient documented communication and relevant information, Wurk may investigate payment disputes. Wurk may review Platform records, messages, check-in and check-out data, location data, job details, Business statements, Worker statements, payment processor information, and other relevant materials.

Wurk may make adjustments, facilitate communication, request additional information, recommend resolution, apply credits, process corrections, restrict accounts, or take other action it determines appropriate.

Wurk is not a court, arbitrator, employer, payroll provider, or tax advisor. Wurk’s investigation does not eliminate any rights or obligations that a Business or Worker may have under applicable law.

17. Taxes

Businesses and Workers are responsible for determining and complying with their own tax obligations.

Workers are responsible for reporting and paying all taxes associated with amounts earned through Work Opportunities, including income taxes, self-employment taxes, estimated taxes, and any other applicable taxes.

Businesses are responsible for determining and complying with any reporting, withholding, information return, payroll, sales tax, use tax, employment tax, or other tax obligations applicable to their use of Wurk and engagement of Workers.

Wurk may provide a 1099 worksheet or other informational reports for Businesses to use at their discretion. Wurk does not currently prepare or issue IRS Forms 1099 or other tax reporting forms. Wurk reserves the right to modify its tax reporting practices as required by law, payment processor rules, operational changes, or future Platform features.

Wurk does not provide tax, legal, accounting, payroll, employment, or financial advice.

18. Tools, Equipment, and Worksite Requirements

Tools, equipment, materials, uniforms, protective gear, licenses, certifications, transportation, and other job requirements depend on the job description and requirements set by the Business.

Businesses are responsible for clearly describing required tools, equipment, certifications, permits, dress requirements, safety equipment, and worksite conditions.

Workers are responsible for reviewing the job description and determining whether they can satisfy the stated requirements.

Wurk does not guarantee the safety, adequacy, legality, or availability of tools, equipment, worksites, or materials.

19. Safety, Injuries, and Insurance

Wurk does not currently provide workers’ compensation insurance, occupational accident insurance, general liability insurance, health insurance, disability insurance, or other insurance coverage for Workers or Businesses through the Platform.

Wurk is currently exploring insurance partners and may introduce insurance-related offerings, benefits, protections, or third-party insurance options in the future. Any future insurance-related offering may be subject to separate eligibility requirements, disclosures, exclusions, premiums, third-party terms, and policy documents.

Businesses are responsible for maintaining a safe work environment and complying with all workplace safety laws, health regulations, labor laws, licensing rules, insurance requirements, and industry-specific requirements applicable to their operations.

Workers are responsible for exercising reasonable care, following lawful safety instructions, using appropriate protective equipment, and declining work that appears unsafe, illegal, or beyond their ability.

If someone is injured while performing or attempting to perform a Work Opportunity, responsibility will be determined by applicable civil law and the facts of the situation. Wurk does not assume responsibility for injuries, workplace accidents, worksite conditions, unsafe equipment, Business conduct, Worker conduct, or third-party conduct, except to the extent responsibility may not be disclaimed under applicable law.

Users must promptly report serious safety incidents, injuries, harassment, threats, violence, illegal conduct, or dangerous conditions to Wurk at markamoruso@wurk.now.

20. Legal Compliance

Users are responsible for complying with all laws applicable to their use of Wurk.

Businesses are responsible for compliance with laws relating to business licensing, labor, employment, independent contractor classification, wage and hour requirements, child labor, workplace safety, anti-discrimination, harassment, tax, insurance, permits, immigration, privacy, data security, and payment obligations.

Workers are responsible for compliance with laws relating to independent contracting, taxes, permits, work authorization, professional licensing, transportation, safety, and lawful performance of services.

Users may not use Wurk to request, offer, arrange, perform, or facilitate illegal services.

21. Prohibited Conduct

You may not:

1. Use Wurk for unlawful, fraudulent, misleading, abusive, or harmful purposes.

2. Provide false, incomplete, or misleading information.

3. Impersonate any person or business.

4. Create fake accounts or duplicate accounts to avoid enforcement.

5. Harass, threaten, discriminate against, abuse, intimidate, exploit, or harm another User.

6. Engage in criminal conduct, unsafe conduct, violent conduct, theft, fraud, or property damage.

7. Post or accept illegal, discriminatory, unsafe, or exploitative Work Opportunities.

8. Manipulate ratings, payments, time records, check-ins, check-outs, location information, or account history.

9. Circumvent Wurk fees, payment processing, account rules, or Platform procedures.

10. Solicit or move transactions off-platform in violation of Wurk’s policies.

11. Upload viruses, malware, spyware, or harmful code.

12. Reverse engineer, scrape, crawl, copy, or misuse the Platform.

13. Interfere with the security, operation, or availability of Wurk.

14. Use Wurk to send spam, unauthorized marketing, or deceptive communications.

15. Upload content that infringes intellectual property, privacy, publicity, or other rights.

16. Misuse another person’s personal information.

17. Violate Stripe, Apple, Google, or other third-party terms applicable to your use of Wurk.

18. Engage in conduct that creates safety, legal, reputational, operational, or financial risk for Wurk or other Users.

22. Account Suspension and Deactivation

Wurk may suspend, restrict, deactivate, or permanently ban an account at any time if Wurk believes the User has violated these Terms, violated applicable law, created risk, or engaged in harmful conduct.

Grounds for suspension or deactivation include fraud, fake identity, harassment, repeated cancellations, chargebacks, criminal conduct, safety concerns, repeated no-shows, low reliability, payment disputes, misuse of the Platform, false information, unauthorized account access, intellectual property infringement, discriminatory conduct, or any other conduct Wurk determines harmful to the Platform or Users.

Wurk may also suspend accounts during investigation.

Account suspension or deactivation may result in loss of access to the Platform, removal from Work Opportunities, cancellation of pending Shifts, withholding of payments where permitted by law, loss of ratings or account history, and other consequences.

23. User Content

You retain ownership of User Content you submit to Wurk, subject to the license granted below.

By submitting User Content, you grant Wurk a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to use, host, store, reproduce, display, transmit, modify, adapt, publish, distribute, and otherwise process User Content as necessary to operate, improve, protect, market, and provide the Platform.

You represent and warrant that you own or have the rights necessary to submit User Content and grant this license.

Wurk may remove, hide, restrict, or delete User Content that violates these Terms, violates applicable law, infringes rights, creates risk, or is otherwise objectionable in Wurk’s discretion.

24. Copyright and Intellectual Property Complaints

Users may not upload copyrighted materials, logos, photos, videos, documents, trademarks, or other protected materials unless they have the legal right to do so.

Wurk may remove content that appears to infringe copyright, trademark, privacy, publicity, or other rights.

Wurk may terminate or restrict accounts of repeat infringers.

25. Wurk Intellectual Property

Wurk, the Wurk name, Wurk logos, Platform design, software, technology, features, graphics, user interface, databases, algorithms, workflows, documentation, and related materials are owned by TIMO APP LLC or its licensors.

These Terms do not transfer any ownership rights in Wurk’s intellectual property.

You may use Wurk only as permitted by these Terms. You may not copy, modify, distribute, sell, lease, reverse engineer, create derivative works from, or exploit Wurk’s technology or intellectual property without written permission.

26. Communications

By creating an account, you agree to receive communications from Wurk, including account creation emails, security emails, service messages, payment messages, Shift-related messages, reminders, marketing emails, push notifications, and two-factor authentication text messages.

You may opt out of marketing emails by using unsubscribe tools or contacting Wurk.

You may control push notifications through app settings or device settings, although disabling certain notifications may affect Platform functionality.

Wurk currently uses SMS text messages for dual-factor authentication. Message and data rates may apply. You may not be able to use certain security features without receiving authentication messages.

27. Location Services

Wurk may collect location information while checking in and checking out, while the app is open, and in the background, where permitted by device settings, app permissions, and applicable law.

Location information may be used for check-in, check-out, attendance, fraud prevention, safety, Shift verification, dispute review, platform integrity, analytics, and related purposes.

Users may opt out of certain location collection through device settings or app settings. However, disabling location access may limit or prevent use of certain Wurk features, including applying for, accepting, checking into, checking out of, or verifying Work Opportunities.

28. Camera, Photos, Documents, and Videos

Wurk may request access to camera, photos, documents, and files for purposes such as uploading profile photos, resumes, identity documents, certifications, work permits, business documents, job-related images, videos, and other Platform content.

You are responsible for ensuring that uploaded materials are accurate, lawful, and do not infringe the rights of others.

29. Beta Release

Wurk may launch, operate, or provide some or all features in beta.

During beta, features may be incomplete, experimental, unstable, unavailable, or subject to change. Bugs, errors, downtime, incorrect calculations, missing features, changed workflows, and service interruptions may occur.

Wurk may change, add, suspend, restrict, or discontinue beta features at any time.

You use beta features at your own risk.

30. Future Features

Wurk may introduce future features, including background checks, third-party verification, AI matching, fraud detection, message review, job recommendations, insurance offerings, benefit-related features, in-app messaging, subscriptions, premium tools, analytics, automated decision support, expanded markets, international availability, or additional payment options.

Future features may be subject to additional terms, consents, disclosures, fees, third-party agreements, or eligibility requirements.

31. Third-Party Services

Wurk may integrate with or rely on third-party services, including Stripe, Apple, Google, AWS, Microsoft, analytics providers, verification providers, background check providers, insurance partners, Plaid, and other vendors.

Third-party services are controlled by third parties, not Wurk. Your use of third-party services may be subject to additional terms, privacy policies, fees, verification requirements, and restrictions.

Wurk is not responsible for third-party services, third-party downtime, third-party errors, third-party data practices, third-party fees, or third-party acts or omissions.

32. App Store Terms

If you access Wurk through Apple’s App Store, Google Play, or another app marketplace, your use may also be subject to the applicable app marketplace terms and policies.

The app marketplace provider is not responsible for Wurk, Work Opportunities, payments, disputes, injuries, User Content, or support, except as required by applicable marketplace terms.

33. Availability and Platform Changes

Wurk may modify, suspend, discontinue, restrict, or update the Platform at any time.

Wurk does not guarantee that the Platform will be available at all times or that any particular feature will continue to exist.

Wurk may impose limits on accounts, geographic availability, Work Opportunities, features, payment methods, verification, or access.

34. Privacy

Wurk’s collection and use of personal information is described in the Wurk Privacy Policy.

By using Wurk, you acknowledge that Wurk may collect, use, share, retain, and process information as described in the Privacy Policy.

35. No Professional Advice

Wurk does not provide legal, tax, accounting, insurance, employment, payroll, HR, safety, financial, or professional advice.

Any information provided through Wurk is for general Platform purposes only.

Users should consult qualified professionals regarding legal, tax, classification, safety, insurance, payroll, or employment matters.

36. Disclaimers

Wurk is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, Wurk disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, and uninterrupted operation.

Wurk does not guarantee that:

1. Workers will find work.

2. Businesses will find Workers.

3. Any Worker will perform satisfactorily.

4. Any Business will provide a safe or satisfactory work environment.

5. Any payment will be received by a particular time.

6. Any User information is complete or accurate.

7. Any Work Opportunity is lawful, safe, or suitable.

8. The Platform will be error-free, secure, uninterrupted, or available at all times.

37. Limitation of Liability

To the maximum extent permitted by law, Wurk and TIMO APP LLC, including their owners, officers, directors, employees, contractors, agents, affiliates, service providers, and licensors, will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages.

To the maximum extent permitted by law, Wurk’s total liability for any claim arising out of or relating to these Terms or the Platform will not exceed the greater of: (a) the amount of fees paid by you to Wurk during the three months before the event giving rise to the claim; or (b) one hundred dollars.

The limitations above apply regardless of legal theory, including contract, tort, negligence, strict liability, warranty, statute, or otherwise, even if Wurk has been advised of the possibility of damages.

Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.

38. Indemnification

You agree to indemnify, defend, and hold harmless Wurk and TIMO APP LLC, including their owners, officers, directors, employees, contractors, agents, affiliates, service providers, and licensors, from and against any claims, damages, losses, liabilities, costs, expenses, demands, actions, settlements, fines, penalties, and fees, including reasonable attorneys’ fees, arising out of or related to:

1. Your use of Wurk.

2. Your violation of these Terms.

3. Your violation of applicable law.

4. Your User Content.

5. Your Work Opportunities.

6. Your performance or non-performance of work.

7. Your classification, tax, wage, hour, payroll, insurance, safety, licensing, or employment obligations.

8. Your conduct toward another User.

9. Your fraud, misrepresentation, negligence, willful misconduct, or illegal conduct.

10. Your violation of another person’s rights.

39. Arbitration Agreement

Please read this section carefully. It requires most disputes to be resolved by binding arbitration instead of in court.

You and Wurk agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, your account, payments, Work Opportunities, communications, privacy, suspension, deactivation, or your relationship with Wurk will be resolved by binding arbitration, except as stated below.

The arbitration will be administered by the American Arbitration Association under its applicable rules. If the American Arbitration Association is unavailable or unwilling to administer the arbitration, the parties will agree on another neutral arbitration provider. If the parties cannot agree, a court of competent jurisdiction may appoint an arbitration provider.

The arbitration may take place by video conference, telephone, written submissions, or in Anne Arundel County, Maryland, as determined by the arbitrator and applicable rules.

The arbitrator will have authority to resolve disputes regarding arbitrability, enforceability, interpretation, and application of this arbitration agreement, except that courts may decide issues relating to the class action waiver below to the extent required by law.

You and Wurk waive the right to a jury trial.

40. Class Action Waiver

You and Wurk agree that disputes will be brought only on an individual basis.

You and Wurk waive the right to bring, join, participate in, or recover through any class action, collective action, consolidated action, representative action, private attorney general action, or similar proceeding, to the maximum extent permitted by law.

The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that individual party’s claim.

41. Exceptions to Arbitration

Either party may bring an individual claim in small claims court if the claim qualifies.

Wurk may seek injunctive or equitable relief in court for intellectual property misuse, unauthorized access, security threats, fraud, misuse of the Platform, or conduct that threatens the Platform or Users.

Either party may seek court assistance to compel arbitration, enforce an arbitration award, or obtain temporary relief pending arbitration.

42. Arbitration Opt-Out

You may opt out of the arbitration agreement by sending written notice to markamoruso@wurk.now within 30 days after first accepting these Terms.

Your opt-out notice must include your full name, account email address, and a clear statement that you opt out of the arbitration agreement in the Wurk Terms of Use.

Opting out of arbitration does not affect any other part of these Terms.

43. Governing Law

These Terms are governed by the laws of the State of Maryland, without regard to conflict of law principles.

Subject to the arbitration agreement above, courts located in Maryland will have jurisdiction over disputes arising out of or relating to these Terms or Wurk.

44. Changes to These Terms

Wurk may update these Terms from time to time.

When Wurk updates these Terms, Wurk may notify Users through the Platform, email, website notice, account notice, or other reasonable method.

The updated Terms will be effective as of the date stated in the updated Terms or as otherwise communicated.

Your continued use of Wurk after updated Terms become effective means you accept the updated Terms.

If you do not agree to updated Terms, you must stop using Wurk.

45. Termination by User

You may stop using Wurk at any time.

You may request account deletion by contacting markamoruso@wurk.now or using available account tools.

Account deletion may not immediately delete all records. Wurk may retain information as described in the Privacy Policy, including records needed for legal, tax, accounting, safety, fraud prevention, payment, dispute, enforcement, and compliance purposes.

46. Severability

If any provision of these Terms is found unenforceable, the unenforceable provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will remain in effect.

47. No Waiver

Wurk’s failure to enforce any provision of these Terms does not waive Wurk’s right to enforce that provision later.

48. Assignment

You may not assign or transfer these Terms or your account without Wurk’s written consent.

Wurk may assign or transfer these Terms, the Platform, or related rights and obligations in connection with a merger, acquisition, financing, reorganization, sale of assets, corporate transaction, or by operation of law.

49. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms or policies referenced through the Platform, form the entire agreement between you and Wurk regarding the Platform.
